1. Acceptance of Terms

By accessing or using House Cash Flows, a real estate tokenization platform, you agree to be bound by these Terms and Conditions. These terms govern your access to and use of the platform for purchasing fractional ownership of real estate through blockchain-based tokens. By using the platform, you affirm that you have read, understood, and accepted these Terms, and that you possess the legal capacity to enter into a binding agreement under applicable laws.

2. Platform Description

House Cash Flows is a platform that allows users to purchase fractional shares of real estate through tokenization. Each property is represented by a specific number of tokens, which grant a proportional share of ownership through the entity that owns the property, without granting physical, residential, or operational rights to the property itself. The tokens entitle holders to participate in the profits generated by the properties, but do not confer traditional exclusive ownership rights.

3. User Registration and KYC Verification

To access the platform and purchase tokens, registration is required, including the completion of the Know Your Customer (KYC) process. Users must provide accurate and truthful information and valid documentation for identity verification. House Cash Flows reserves the right to refuse access or suspend service to any user in the case of incomplete or non-compliant information, or for legitimate reasons in accordance with applicable laws.

4. Token Purchase and Ownership

The purchase of tokens represents fractional participation in a real estate property through the entity that owns the property. Tokens grant the right to receive distributions of profits generated by the property (e.g., rental income), but do not provide any physical access or usage rights to the property itself. Users acknowledge that purchasing tokens does not constitute a guaranteed investment, and that the value of the token is subject to fluctuations in the real estate market and economic conditions.

5. Investment Risks

The purchase of tokens through House Cash Flows involves significant financial risks. Users should be aware that the value of tokens can fluctuate, and House Cash Flows provides no guarantees of future returns or protection of invested capital. Users should only invest amounts they can afford to lose without compromising their financial stability. No advice is offered regarding the suitability of the investment.

6. Income Distribution

The profits generated by the properties will be distributed to token holders proportionally to their ownership stake, net of management fees and operational costs. Distributions will be made periodically, but continuity or the amount of distributions is not guaranteed and will depend on the financial performance of the properties.

7. Token Trading and Sale

Tokens can be traded within the platform or on authorized exchanges, in compliance with applicable regulations. Token liquidity is not guaranteed, and House Cash Flows assumes no responsibility for any inability to sell or trade tokens in a timely manner. Users are responsible for managing their own transactions and trading decisions.

8. Legal and Regulatory Compliance

House Cash Flows complies with Bulgarian and European regulations regarding real estate tokenization and fractional ownership investments. However, each user is responsible for ensuring that their activities comply with the laws of their country of residence, including tax and financial regulations. House Cash Flows does not provide legal or tax advice and recommends that users consult independent professionals before engaging in transactions.

9. Platform Fees and Costs

The platform charges fees for services provided, including token purchases, sales, and property management. Applicable fees will always be clearly indicated to users prior to any transaction. House Cash Flows reserves the right to adjust fees based on market conditions or changes to the services offered. Users will be informed of any significant fee changes.

10. Amendments to Terms and Conditions

House Cash Flows reserves the right to modify these Terms and Conditions at any time. In the event of significant changes, users will be notified and will have the opportunity to accept the new terms by continuing to use the platform. Continued use of the platform following the publication of changes constitutes acceptance of the updated Terms. Users who do not accept the changes have the right to immediately cease using the platform.

11. Disclaimer of Liability

House Cash Flows does not provide legal, financial, or tax advice. The platform offers an opportunity to participate in real estate tokenization, but does not encourage or promote investment in a financial sense. Any decision made by users regarding the purchase of tokens is done at their own discretion and responsibility. Users are encouraged to consult independent professionals before making financial decisions.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Republic of Bulgaria. Any dispute related to these Terms or the use of the platform will be subject to the exclusive jurisdiction of the competent courts in Bulgaria. However, the platform complies with European regulations on consumer protection and real estate tokenization, as well as specific local regulations, including those in Italy, where applicable.
